Laws367 at Victoria University of Wellington got to hear from the teacher’s teacher today - David Coull from Bell Gully came in to discuss M&A process and confidentiality agreements (and will be back for due diligence and term sheets etc next week). It is always a real privilege to present with someone who I’ve learned a tremendous amount from and worked with for many long hours. Interestingly David had a slightly different twist on what makes a good and great lawyer from last year. David used a great expression - ‘A hard yes, or an easy no’ - ie, it’s easy to say no, but the real skill is finding a way to do things that are difficult. This all reflects on the need to be solutions focused. A very elegant way to hit on a key aspect of great lawyering. A great message for all students at the Faculty of Law, Victoria University of Wellington.

From a study room at Te Herenga Waka—Victoria University of Wellington to the Supreme Court. A case started by a group of our law students in 2022 is now set to be heard in Aotearoa’s highest court. Students for Climate Solutions challenged the granting of oil exploration permits in Taranaki, arguing that climate impacts and Te Tiriti obligations weren’t properly considered. "We really did just start off as a couple of students sitting in a study room at Vic Uni, and now it's been three years and it's progressed so far," said Lauren Craig, one of the original claimaints who has since graduated. This is a powerful example of the impact students can have—not just in the courtroom, but in shaping the future of climate accountability. The case will be heard by the Supreme Court in May. As Mark Cunliffe says, "a central aspect of being a lawyer is almost entirely about looking after clients ". At Faculty of Law, Victoria University of Wellington we are so fortunate to have brilliant and generous teaching fellows who bring "real-world lawyering" to life for our students via their professional experiences and networks. Here's to another excellent year of Laws 367: Mergers & Acquisitions. 👏 Victoria University of Wellington #PipiteaCampus
General Counsel at New Zealand Takeovers Panel / Adjunct Lecturer at Victoria University of Wellington
Laws 367: Mergers & Acquisitions is back at Victoria University of Wellington! It’s absolutely great to be back with a group of very engaged students - I’m really looking forward to this year! It was a particular pleasure to be joined by Rhiannon McKinnon to provide a client perspective on M&A and what clients actually want from lawyers. (It’s very deliberate that I have a client in the first week, it’s easy to forget at law school that being a lawyer is almost entirely about looking after clients is the central aspect of the job.) It was more than reassuring to hear Rhiannon echo one of my mantras - good lawyering is about achieving commercial outcomes through legal mechanisms. Even more reassuring was the class’ interest in Rhiannon - questions went on for 25 minutes! Great to see the students jumping at the chance to learn from a real leader in her field! More generally it’s an absolute privilege to be part of the Faculty of Law, Victoria University of Wellington and to be a colleague of outstanding people such as Geoff McLay who has given me an enormous amount of support and encouragement.
